Advising Chinese Firms
Since China's WTO entry, we are seeing a surge of activities in cross-border investment activities, either in the form of foreign firms investing in Chinese businesses, or Chinese companies conducting overseas acquisitions. ChinaBusinessTravel's capabilities in representing and advising Chinese companies come from our strengths in both Buy-side and Sell-side advisories, understanding of different business practices and valuation methodologies, and hands-on experience in hundreds of China related transactions.
When a Chinese company is approached by an international suitor, it is often excited about the prospects of international cooperation, but anxious about how to assess the suitability of the potential investor, what combination of contributions to seek from the investor, how to negotiate the highest valuation possible based on commonly accepted international rules, and ultimately how to protect its own interest while creating a win-win situation for both sides. Quite often we notice sino-foreign M&A and joint ventures are conducted in situations where the foreign investor is represented by highly capable outside advisors, while the Chinese management, inexperienced in M&A, struggles to follow what the translator communicates to them. The results of such transactions are overwhelmingly disadvantaged to the Chinese company.
